The Insception Lifebank's Refer-a-Friend Contest (the “Contest”) is sponsored by Insception Biosciences, Inc., with offices at 216 Britannia Rd E Mississauga, ON, L4Z 1S6 (“Sponsor” or “Insception Lifebank”) By entering or otherwise participating in this Contest, you agree to be bound fully and unconditionally by these Official Rules (“Rules”) and to Insception Lifebank’s decisions, which are final and binding in all respects. The Contest begins on July 1, 2025 at 12:00am EDT and ends at 11:59pm EDT on July 31, 2025 (the “Contest Period”).

HOW TO WIN: Existing Insception Lifebank clients ("Referring Clients") refer new clients to Insception Lifebank ("Referred Clients") during the Contest Period. The Referring Client who has the greatest number of Referred Clients who enroll with Insception Lifebank during the Contest Period will receive the 1st place prize, the Referring Client who has the second greatest number of Referred Clients who enroll with Insception Lifebank during the Contest Period will receive the 2nd place prize, and the Referring Client who has the third greatest number of Referred Clients who enroll with Insception Lifebank during the Contest Period will receive the 3rd place prize (the “Prizes”).

In the event of a tie, the Referring Client who reaches the greatest number of Referred Clients enrolled first will be the winner of the Prize. Insception Lifebank will determine who meets these criteria based on the Referred Client’s enrollment date and exact time. If there are not enough Referring Clients to give away each Prize, all Prizes will not be given out (for example, if Insception Lifebank only receives two Referred Clients from two Referring Clients, only two Prizes will be rewarded).

ELIGIBILITY: The Contest is available for both online enrollments and phone enrollments by Referred Clients as long as the Referred Client mentions Referring Client’s name when enrolling over the phone. The Contest is open to all Referring Clients who are in good standing with Insception Lifebank. Referred Clients must not have previously stored newborn stem cells with Insception Lifebank. Insception Lifebank reserves the right to deem Referring Clients ineligible to participate in this Contest if Insception Lifebank, in its sole discretion, concludes that the Referring Client has engaged in any fraudulent activity or has participated in the Contest in a manner inconsistent with these Official Rules or any federal, state or local, laws, statutes or ordinances.

Employees, officers, and directors of Sponsor, its parent companies, affiliates, subsidiaries; advertising, promotion, and fulfillment agencies; and legal advisors, and all their immediate family members and persons living in their same household are not eligible to participate in the Contest. Participants who have won a prize from Sponsor in the last year also are not eligible to participate in the Contest. All federal, state, and local laws and regulations apply.

PRIZE: A total of three (3) winners (each, a “Winner”) will be awarded based on the number of successful referrals to Insception Lifebank at the end of the Contest Period. If there are not enough Referring Clients to give away each Prize, all Prizes will not be given out (for example, if Insception Lifebank only receives two Referred Clients from two Referring Clients, only two Prizes will be rewarded). Winners will receive the following Prizes:

• 1st Place: $500 CAD Gift Card
• 2nd Place: $350 CAD Gift Card
• 3rd Place: $200 CAD Gift Card

Insception Lifebank will email the Prize to the Winners within thirty (30) days of the end of the Contest Period. Insception Lifebank may substitute similar items of approximately similar or greater value if any or all the Prizes are not available.

Winner cannot redeem the Prize for a cash payment or apply the cash value of the Prize to a previous or future purchase at Insception Lifebank. No alternative prizes will be awarded.

All federal, state and local taxes, fees, and all other costs related to winning the awarded Prize are the sole responsibility of each Winner. The Winner may be asked to present a valid Canadian driver's license or valid Canadian I.D. in order to receive the Prize.

The issuers of the gift cards have not endorsed this Contest, participated in this Contest or been involved in this Contest and shall not be responsible for or liable in connection with this Contest in any way. Insception Lifebank has purchased each of the Prizes for this Contest.

SELECTION OF WINNER: Three (3) Winners will be selected by Insception Lifebank based on the number of referrals they have that enroll with Insception Lifebank during the Contest Period, as further described above. A first, second, and third place Winner will be selected based on the criteria.

The Winners will be contacted by Insception Lifebank via email.

The Prize will be delivered via email. By accepting the Prizes, the Winner grants Insception Lifebank a non-exclusive, irrevocable, royalty-free license and right to publish and use worldwide and in perpetuity Winner’s name, biographical information, hometown, and likeness in any media or form now known or hereafter created for the purpose of advertising, trade, or promotion or for providing a list of Winners should anyone request such as allowed below, without further compensation, royalties, remuneration or consideration, unless otherwise prohibited by law.

By participating in the Contest, each participant and Winner acknowledges the Rules and agrees to be bound by the Rules. By accepting a Prize, the Winner agrees to release and hold harmless Insception Lifebank and its parent companies, and their affiliates and subsidiaries, officers, directors, employees and agents (collectively, the “Released Parties”) from all liability, disputes, claims and causes of action arising out of or in connection with the Official Rules, their participation in this Contest, and their receipt, acceptance, use or misuse of the Prize (the “Claims”). Each Winner further recognizes that the issuer of the gift cards has had no involvement in this Contest. Participants (including Winners) further agree, on behalf of themselves, their heirs, executors and administrators, to release and hold harmless the issuer of the gift cards from all liability, disputes, claims and causes of action arising out of or in connection with the Official Rules, the Contest, participation in this Contest, and receipt of the Prizes.

To request the identity of the Winners, please send a self-addressed stamped legal-size envelope no later than fourteen (14) days after the Winner is announced to: Insception Biosciences, Inc., Attention: Cord Blood Awareness Month 2025 Refer a Friend Contest, 216 Britannia Rd E Mississauga, ON, L4Z 1S6.

GENERAL RULES: All Referral Terms and Conditions shall apply to this Contest and any referrals made by Referring Client. Referring Clients will remain eligible for the Insception Lifebank Refer-a-Friend Program during the Contest Period. In other words, a Referring Client may both be a Winner under this Contest and also earn a cheque or storage credit under the Insception Lifebank's Refer-a-Friend Program. By participating in this Contest, each participant agrees to release and hold harmless the Released Parties from all liability, claims or cause of actions, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of or in connection with this Contest and their participation in this Contest.

Insception Lifebank is not responsible for typographical errors in the promotional or informational materials for this Contest.

Insception Lifebank is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate entry information howsoever caused or other error of any kind whether human, mechanical or electronic.

This Contest is provided without any guarantee or warranty, including without limitation any express, implied or statutory warranty, including without limitation the warranties of fitness for a particular purpose or non-infringement.

Participants found tampering with or abusing any aspect of this Contest, as solely determined by Insception Lifebank, will be disqualified. If disqualified for any of the above abuses, Insception Lifebank reserves the right to terminate participant’s eligibility to win the Contest. In the event this Contest is compromised by virus, bugs, unauthorized intervention or other causes beyond the control of Insception Lifebank which corrupt, or impair the administration, security, fairness or proper play of the Contest, Insception Lifebank reserves the right in its sole discretion to suspend or terminate the Contest.

DISPUTES: Except where prohibited, each participant agrees that all issues and questions concerning the construction, validity, interpretation and enforcement of these Rules or the rights and obligations of participants, Winners, Insception Lifebank and their agents, shall be governed by and construed exclusively in accordance with laws of the State of Ontario, and participants (including Winners) hereby consent and submit the personal jurisdiction of such courts for the purposes of litigating any such claims.

Further, except where prohibited by law, each participant (including the Winner) agrees that any and all disputes, claims, and causes of action arising from or connected with the Contest, shall be resolved individually, without resort to any form of class action and any and all claims, judgments and awards shall be limited to Five Hundred Canadian Dollars ($500 CAD) but in no event shall any participant (including Winners) be entitled to recover punitive, exemplary, consequential or incidental damages, including attorney’s fees or other related costs of bringing a claim, or be entitled to rescind this agreement or seek injunctive or any other equitable relief.
